TERMS OF USE

Pheeb is operated by AHP Group Limited, a company incorporated in England and Wales with its registered office at 71-75 Shelton Street, Covent Garden, London, WC2H 9JQ ("AHP Group Limited", "we", "us", or "our"). The term "you" refers to any person who accesses, registers for, or uses Pheeb.

Please read these Terms of Use carefully before accessing or using Pheeb. By accessing or using Pheeb, you confirm that you have read, understood, and agree to be bound by these Terms of Use. If you do not agree, please do not use Pheeb.

These Terms of Use are governed by the laws of England and Wales. Where you are accessing Pheeb from outside the United Kingdom, you remain subject to these Terms of Use, and you are responsible for ensuring that your use of Pheeb complies with any local laws that apply to you.

We reserve the right to update these Terms of Use at any time. We will notify you of any material changes by email or by displaying a notice within Pheeb. Your continued use of Pheeb following notification of any change constitutes your acceptance of the updated Terms of Use.

By accepting these Terms of Use, you also accept our Data Processing Agreement, which governs how we process personal data on your behalf as a Pheeb member. The Data Processing Agreement is available on request by contacting us at the address set out in clause 17.

1. About Pheeb

Pheeb is an all-in-one business platform built for Certified Online Business Managers (OBMs) and, in due course, for broader audiences of freelancers and small business owners. Pheeb is currently available exclusively to paying members of the International Association of Online Business Managers (IAOBM). Access for other users may be made available in the future.

Pheeb is built on third-party platform infrastructure. By using Pheeb, you acknowledge that certain aspects of the platform are subject to our platform infrastructure provider's own terms of service.

2. Eligibility

To use Pheeb, you must:

Be at least 18 years of age.

Be a current paying member of IAOBM (during the current IAOBM-exclusive access period).

Have the legal capacity to enter into a binding contract.

Not be prohibited from using Pheeb under the laws of any applicable jurisdiction.

By registering for Pheeb, you represent and warrant that you meet all of the above eligibility requirements.

3. Your Account

To access Pheeb, you will need to create an account. You are responsible for:

Providing accurate and complete registration information.

Keeping your login credentials confidential.

All activity that takes place under your account, whether authorised by you or not.

Notifying us immediately at the contact address below if you become aware of any unauthorised use of your account.

You may not share your account with any other person. Accounts are issued on an individual basis and are non-transferable. We reserve the right to suspend or terminate your account if we suspect that it has been shared or used in a manner that is not consistent with these Terms of Use.

4. Subscription and Payment

Access to Pheeb is provided on a monthly subscription basis. The current IAOBM member price is $60 per month. This price is exclusive to IAOBM members and is not available to the general public.

By subscribing to Pheeb, you authorise us to charge your payment method the applicable subscription fee on a recurring monthly basis until your subscription is cancelled.

All fees are quoted in US dollars unless otherwise stated. If you are paying from outside the United States, your bank or card provider may apply their own currency conversion rates and charges, for which we are not responsible.

We reserve the right to change our subscription pricing at any time. We will give you not less than 30 days' written notice of any price change. If you do not wish to continue at the new price, you may cancel your subscription before the new price takes effect.

Payments are processed through a third-party payment processor. We do not store your full payment card details. All payment transactions are subject to the terms and conditions of our payment processor.

Subscriptions are billed in advance. If payment fails, we reserve the right to suspend access to Pheeb until payment is received. We will notify you by email if a payment fails.

5. Cancellation and Refunds

You may cancel your Pheeb subscription at any time by contacting us at the address set out below. Cancellation will take effect at the end of your current billing period. You will retain access to Pheeb until the end of the period for which you have already paid.

We do not offer refunds for any unused portion of a monthly subscription period, except where required by applicable law or where we have failed to provide the service as described.

If you cancel your subscription, any data, content, or materials stored within your Pheeb account may be deleted after a period of 30 days following the end of your final billing period. You are responsible for exporting or saving any data you wish to retain before your access ends.

We reserve the right to terminate or suspend your access to Pheeb at any time, including for breach of these Terms of Use, non-payment, or misuse of the platform. In the event that we terminate your access other than for cause, we will provide a pro-rata refund of any fees paid for the unused portion of your current billing period.

6. Usage Charges

Your Pheeb subscription includes access to the core platform features. However, certain features may attract additional usage-based charges, including but not limited to:

Email sending beyond included allowances.

SMS and text messaging.

Outbound and inbound phone calls.

AI-powered features and workflow automations.

WhatsApp messaging (where enabled as an optional add-on).

Where additional charges apply, these will be communicated to you clearly before they are incurred where practicable. Usage charges are billed in addition to your monthly subscription fee and are subject to change.

7. Intellectual Property

Our Intellectual Property

All content, materials, features, and functionality available through Pheeb, including but not limited to the Pheeb name and branding, done-for-you workflows, templates, training materials, written content, graphics, and software, are the property of AHP Group Limited or its licensors and are protected by applicable intellectual property laws.

Your subscription to Pheeb grants you a limited, personal, non-exclusive, non-transferable, revocable licence to access and use Pheeb and its content for your own internal business purposes. This licence does not permit you to:

Copy, reproduce, republish, distribute, or resell any Pheeb content or materials.

Use any Pheeb content or materials in a way that suggests endorsement or affiliation with AHP Group.

Remove or alter any copyright, trademark, or other proprietary notices.

Use Pheeb or its content to build a competing product or service.

Share, sublicense, or transfer your access to any other person.

All rights not expressly granted to you under these Terms of Use are reserved by AHP Group Limited.

Your Content

You retain ownership of any content, data, or materials that you upload, create, or store within your Pheeb account ("Your Content"). By uploading or storing Your Content within Pheeb, you grant AHP Group Limited a limited, non-exclusive licence to host, store, and process Your Content solely for the purpose of providing the Pheeb service to you.

You are solely responsible for Your Content and warrant that it does not infringe any third-party rights and complies with all applicable laws.

8. Prohibited Conduct

When using Pheeb, you agree that you will not:

Use Pheeb for any unlawful purpose or in contravention of any applicable laws or regulations.

Use Pheeb to send spam, unsolicited marketing communications, or any communications that violate applicable laws including the UK Privacy and Electronic Communications Regulations (PECR) and the UK General Data Protection Regulation (UK GDPR).

Upload or transmit any content that is defamatory, offensive, obscene, or otherwise objectionable.

Attempt to gain unauthorised access to any part of Pheeb or to any other system or network connected to Pheeb.

Interfere with or disrupt the integrity or performance of Pheeb or the data contained within it.

Impersonate any person or entity or misrepresent your affiliation with any person or entity.

Use Pheeb to infringe the intellectual property rights of any third party.

Circumvent, disable, or otherwise interfere with any security-related features of Pheeb.

Use Pheeb in a manner that could damage the reputation of AHP Group Limited or IAOBM.

We reserve the right to investigate any suspected breach of this clause and to take such action as we consider appropriate, including suspending or terminating your account without notice.

9. Third-Party Services

Pheeb is built on third-party platform infrastructure and may integrate with or link to third-party services, tools, and applications. We are not responsible for the content, functionality, availability, or terms of any third-party services. Your use of any third-party services is at your own risk and subject to their own terms and conditions.

We do not endorse or make any representations about any third-party services that may be accessible through or in connection with Pheeb.

10. Availability and Maintenance

We will use reasonable endeavours to ensure that Pheeb is available and functioning at all times. However, we do not guarantee uninterrupted access and reserve the right to suspend access to Pheeb for maintenance, upgrades, or for reasons beyond our reasonable control.

We will endeavour to provide advance notice of any planned maintenance or downtime where reasonably practicable. We shall not be liable for any loss or inconvenience caused by any unavailability of Pheeb, whether planned or unplanned.

11. Disclaimer of Warranties

Pheeb is provided on an 'as is' and 'as available' basis. To the fullest extent permitted by applicable law, we make no warranties, express or implied, regarding Pheeb, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that Pheeb will be error-free, that defects will be corrected, or that Pheeb is free of viruses or other harmful components.

Nothing in these Terms of Use excludes or limits any warranties or rights that cannot be excluded or limited under applicable law, including the Consumer Rights Act 2015.

12. Limitation of Liability

To the fullest extent permitted by applicable law, AHP Group Limited shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with your use of Pheeb, including but not limited to loss of profits, loss of data, loss of business, or loss of goodwill, even if we have been advised of the possibility of such damages.

Our total aggregate liability to you in connection with Pheeb, whether in contract, tort (including negligence), or otherwise, shall not exceed the total fees paid by you to us in the 12 months immediately preceding the event giving rise to the claim.

Nothing in these Terms of Use limits or excludes our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded under applicable law.

13. Indemnity

You agree to indemnify, defend, and hold harmless AHP Group Limited and its officers, directors, employees, agents, and contractors from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with your use of Pheeb, your breach of these Terms of Use, or your infringement of any third-party rights.

14. Termination

Either party may terminate these Terms of Use and your access to Pheeb by giving written notice to the other. You may terminate by cancelling your subscription as set out in clause 5. We may terminate your access immediately without notice where you have materially breached these Terms of Use.

On termination, your licence to use Pheeb will cease immediately. Clauses which by their nature should survive termination (including intellectual property, limitation of liability, and indemnity provisions) shall continue in full force and effect.

15. Dispute Resolution

We hope that any concerns or disputes can be resolved informally in the first instance. Please contact us at the address below and we will endeavour to resolve your concern promptly.

These Terms of Use and any dispute or claim arising out of or in connection with them shall be governed by the laws of England and Wales. Each party irrevocably agrees that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms of Use.

16. General

If any provision of these Terms of Use is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

Our failure to enforce any right or provision of these Terms of Use shall not constitute a waiver of that right or provision.

These Terms of Use constitute the entire agreement between you and AHP Group Limited in relation to your use of Pheeb.

We may assign or transfer our rights and obligations under these Terms of Use to any third party. You may not assign or transfer your rights or obligations without our prior written consent.

PRIVACY POLICY

AHP Group Limited ("we", "us", or "our") is committed to protecting your personal data and respecting your privacy. This Privacy Policy explains how we collect, use, store, and share your personal data when you use Pheeb, and sets out your rights in relation to that data.

1. What Personal Data We Collect

We collect and process the following categories of personal data:

Data you provide to us

Your name and email address when you register for an account.

Billing information, including payment card details (processed securely via our payment processor -- we do not store full card numbers).

Business information you provide when setting up your Pheeb account, such as your business name and website.

Communications you send to us, including support requests and feedback.

Data collected automatically

Technical data including your IP address, browser type and version, device type, operating system, and the pages you visit within Pheeb.

Usage data about how you interact with Pheeb, including features used and actions taken within the platform.

Cookies and similar tracking technologies (see the Cookies section below).

Data from third parties

Where you connect third-party integrations to your Pheeb account, we may receive data from those third parties in accordance with their terms and your permissions.

Where you access Pheeb through IAOBM membership, we may receive confirmation of your membership status from IAOBM.

To provide and manage your Pheeb subscription and account: this is necessary for the performance of our contract with you.

To process your payments and manage billing: this is necessary for the performance of our contract with you.

To send you service-related communications, including account notifications, payment confirmations, and updates about Pheeb: this is necessary for the performance of our contract with you.

To provide customer support: this is necessary for the performance of our contract with you and is in our legitimate interests.

To improve Pheeb and understand how it is used: this is in our legitimate interests, provided those interests are not overridden by your rights and interests.

To send you marketing communications about Pheeb and related products and services: we will only do this where you have given us your consent or where we rely on the soft opt-in under applicable law. You can opt out at any time.

To comply with our legal and regulatory obligations: this is necessary for compliance with applicable law.

To protect our rights, property, and the security of Pheeb: this is in our legitimate interests.

3. How We Share Your Personal Data

We do not sell your personal data. We may share your personal data with:

Our platform infrastructure provider, as the underlying platform on which Pheeb is built. Our platform infrastructure provider processes data on our behalf as a data processor and is subject to appropriate data processing terms.

Our payment processor, for the purpose of processing your subscription payments.

Our customer support provider, to the extent necessary to provide support to you.

IAOBM, for the purpose of verifying your membership status (limited to confirmation of membership only).

Third-party analytics providers, to help us understand how Pheeb is used (in anonymised or aggregated form where possible).

AI feature providers, where you use AI-powered features within Pheeb. These providers process data as sub-processors of our platform infrastructure provider. Further details are set out in our AI Policy at https://pheeb.io/tspp.

Law enforcement, regulatory authorities, or other third parties where required by law, or where necessary to protect our rights or the rights of others.

Where you use Pheeb to process personal data relating to your own clients, a Data Processing Agreement governs that relationship and is available on request by contacting us at the address set out below. Where we transfer your personal data to third parties, we ensure that appropriate safeguards are in place in accordance with UK GDPR requirements.

4. International Transfers

Pheeb serves users worldwide. Your personal data may be transferred to and processed in countries outside the United Kingdom and the European Economic Area, including the United States, where our platform infrastructure provider's systems are hosted.

Where we transfer personal data outside the UK or EEA, we ensure that appropriate safeguards are in place in accordance with UK GDPR requirements, including the use of UK International Data Transfer Agreements (IDTAs) or equivalent transfer mechanisms.

5. Data Retention

We retain your personal data for as long as is necessary to fulfil the purposes for which it was collected, including for the duration of your subscription and for a reasonable period thereafter to comply with our legal obligations, resolve disputes, and enforce our agreements.

When your account is closed or your subscription ends, we will retain your personal data for a period of up to 12 months, after which it will be securely deleted or anonymised, unless we are required to retain it for longer under applicable law.

Data you have stored within your Pheeb account may be deleted 30 days after your subscription ends. You are responsible for exporting any data you wish to retain before that time.

6. Cookies

Pheeb uses cookies and similar tracking technologies to help provide, improve, and protect the service.

Strictly necessary cookies: these are required for Pheeb to function and cannot be disabled.

Functional cookies: these help us remember your preferences and settings.

Analytics cookies: these help us understand how Pheeb is used so we can improve it.

Marketing cookies (where applicable): these may be used to serve relevant advertising or content.

You can control cookie settings through your browser settings. Please note that disabling certain cookies may affect the functionality of Pheeb.

7. Security

We take the security of your personal data seriously and implement appropriate technical and organisational measures to protect it against unauthorised access, loss, destruction, or alteration.

Pheeb is built on platform infrastructure that uses industry-standard encryption for data in transit and at rest, two-factor authentication, and regular security audits.

In the event of a personal data breach that is likely to result in a risk to your rights and freedoms, we will notify the Information Commissioner's Office (ICO) within 72 hours where required and will notify you without undue delay where the breach is likely to result in a high risk to your rights and freedoms.

8. Your Rights

Under UK GDPR, you have the following rights in relation to your personal data:

The right of access: you can request a copy of the personal data we hold about you.

The right to rectification: you can ask us to correct inaccurate or incomplete personal data.

ACCEPTABLE USE POLICY

This Acceptable Use Policy ("AUP") sets out the rules and standards that apply to your use of Pheeb. It forms part of your agreement with AHP Group Limited and should be read alongside the Terms of Use and Privacy Policy.

1. General Standards

You must use Pheeb in a manner that is lawful, honest, and consistent with these standards at all times. You are responsible for all activity that takes place under your account.

2. Prohibited Uses

Illegal and harmful activity

Carry out or facilitate any activity that is illegal under the laws of England and Wales or any other applicable jurisdiction.

Engage in any fraudulent activity, including misrepresenting your identity or business.

Facilitate money laundering, terrorism financing, or any other financial crime.

Distribute, sell, or promote any illegal goods or services.

Spam and unsolicited communications

Send unsolicited bulk email, SMS, or other communications (spam) to any person who has not given their consent to receive such communications.

Send commercial communications in breach of the Privacy and Electronic Communications Regulations (PECR), CAN-SPAM Act, CASL, or any other applicable anti-spam law.

Use purchased, rented, or harvested contact lists without evidence of consent.

Use deceptive subject lines, sender names, or other misleading practices in your communications.

Harmful or offensive content

Upload, store, transmit, or distribute any content that is defamatory, obscene, offensive, abusive, harassing, threatening, or otherwise objectionable.

Distribute content that incites hatred or discrimination on the basis of race, religion, gender, sexual orientation, disability, or any other protected characteristic.

Distribute or promote content that sexualises minors or facilitates child exploitation in any form.

Intellectual property and privacy

Infringe the intellectual property rights of any third party.

Collect, process, or use personal data in a manner that is inconsistent with applicable data protection law, including UK GDPR.

Share or publish the personal data of any third party without their consent.

Platform security and integrity

Attempt to gain unauthorised access to Pheeb, its infrastructure, or any connected systems.

Introduce any virus, malware, ransomware, spyware, or other malicious code into Pheeb.

Conduct denial-of-service attacks or any other action that interferes with the availability or performance of Pheeb.

Reverse engineer, decompile, or attempt to extract the source code of any part of Pheeb.

Misuse of features

Use Pheeb's automation, AI, or workflow features in a way that causes harm, harassment, or undue burden to any person.

Use Pheeb to impersonate any person, business, or organisation.

Use Pheeb to operate as a reseller of the platform itself without our prior written agreement.

Use Pheeb to build or operate a product or service that competes directly with Pheeb.

3. Email and SMS Marketing Standards

When using Pheeb's email and SMS marketing features, you must:

Only send communications to contacts who have given their clear and informed consent.

Include a clear and functional unsubscribe mechanism in every commercial communication.

Honour all unsubscribe requests promptly and without conditions.

Identify yourself clearly as the sender of all communications.

Maintain records of consent for all contacts to whom you send communications.

We reserve the right to suspend or restrict your sending privileges if your communications result in high complaint rates, spam reports, or breach of applicable law.

4. Data Protection Obligations

When using Pheeb to collect, store, or process personal data relating to your own contacts, clients, or subscribers, you are the data controller for that data. You are responsible for:

Ensuring you have a valid legal basis for collecting and processing that personal data.

Providing appropriate privacy notices to individuals whose data you collect.

Honouring the rights of data subjects under applicable data protection law.

Not uploading sensitive personal data without appropriate safeguards in place.

AHP Group Limited acts as a data processor in relation to any personal data you store within Pheeb. Our Data Processing Agreement, available on request, governs that processing.

5. Consequences of Breach

If we reasonably believe that you have breached this AUP, we may take any of the following actions without prior notice:

Issue a warning to you.

Temporarily suspend your access to Pheeb or specific features.

Permanently terminate your Pheeb account.

Report the matter to relevant law enforcement or regulatory authorities.

Take legal action against you where appropriate.

Termination of your account in response to a breach of this AUP does not entitle you to any refund of subscription fees paid.

AI POLICY

This AI Policy explains how Pheeb, operated by AHP Group Limited ('we', 'us', or 'our'), uses artificial intelligence (AI) features within the platform, how those features process data, and what this means for you as a Pheeb member.

We believe AI should be transparent, practical, and used responsibly. This policy is written in plain language because we want you to actually read it.

1. What AI Features Are Available in Pheeb

Pheeb is built on platform infrastructure that includes a range of AI-powered features. These include:

Content and Copy Generation

AI-assisted writing tools for emails, funnels, landing pages, and social media content.

AI subject line and headline suggestions.

AI-powered blog and content generation tools.

Conversation and Support AI

AI chatbot and live chat features for use on your own funnels and websites.

AI-powered conversation responses and suggested replies within the CRM.

Voice AI features for automated phone and voicemail interactions.

Workflow and Automation AI

AI-assisted workflow building and automation suggestions.

Predictive send time optimisation for email and SMS campaigns.

AI-powered lead scoring and contact prioritisation.

Review and Reputation Management AI

Not all of these features may be active in your Pheeb account at any given time. Feature availability depends on your subscription and any updates we make to the platform.

2. How AI Features Process Data

When you or your contacts interact with AI features within Pheeb, data is processed in order to generate outputs. This may include:

Content you input into AI tools, such as prompts, briefs, or instructions.

Contact data stored in your CRM, where AI features use this to personalise outputs or make recommendations.

Conversation data from chats, calls, or messages, where AI transcription or analysis features are enabled.

Behavioural data about how your contacts interact with your funnels, emails, and campaigns, used to power predictive features.

AI features within Pheeb are powered by our platform infrastructure provider, which in turn uses third-party AI providers. Data processed by these providers is subject to our Data Processing Agreement, available on request.

We do not use your data or your contacts' data to train AI models for use by other businesses or third parties outside of what is necessary to operate the platform.

3. What AI Features Do Not Do

We want to be clear about the limitations of AI features within Pheeb:

AI-generated content is not guaranteed to be accurate, complete, or free of error. You are responsible for reviewing and approving any AI-generated content before using it.

AI features do not make autonomous decisions about your contacts or clients without your input. Any automated actions are triggered by workflows you set up.

AI features are tools to support your work, not to replace your professional judgement. As a Certified OBM, your expertise and oversight remain essential.

AI outputs may reflect biases present in the underlying models. We encourage you to review AI-generated content critically.

4. Your Responsibilities When Using AI Features

As a Pheeb member, you are responsible for how you use AI features within your account. Specifically, you must:

Review all AI-generated content before sending it to clients, contacts, or publishing it publicly. You are responsible for the accuracy and appropriateness of content you send or publish.

Ensure that your use of AI features complies with all applicable laws, including data protection law (UK GDPR and any other applicable legislation).

Obtain appropriate consents before using AI chatbot or voice AI features that interact directly with your contacts or clients.

Not use AI features to generate content that is misleading, discriminatory, harmful, or in breach of our Acceptable Use Policy.

Not input sensitive personal data (such as health information, financial data, or data relating to children) into AI prompts or tools unless you have a clear legal basis to do so.

Be transparent with your own clients if you are using AI-generated content or AI-powered tools in the services you deliver to them.

5. AI and Your Client Data

If you use Pheeb to manage data relating to your own clients, you are the data controller for that data. When you use AI features that process your clients' data, you remain responsible for ensuring that processing is lawful.

This means you should:

Have a valid legal basis under UK GDPR (or other applicable law) for processing your clients' personal data through AI features.

Consider whether your privacy notices to your clients cover the use of AI tools in how you process their data.

Not input your clients' personal data into AI tools in a way that goes beyond what your clients would reasonably expect.

Our Data Processing Agreement, available on request, governs the processing of personal data you store within Pheeb, including processing carried out by AI features.

6. Opting Out of AI Features

Many AI features within Pheeb are optional and can be enabled or disabled within your account settings. If you do not wish to use a particular AI feature, you can simply choose not to enable it.

Where AI features are part of the core platform infrastructure and cannot be disabled, we will make this clear. If you have concerns about specific AI features, please contact us.

7. Third-Party AI Providers

The AI features within Pheeb are powered by our platform infrastructure provider, which uses third-party AI providers. We do not name specific third-party AI providers in this policy as these may change over time as the platform evolves.

We are not responsible for the outputs, accuracy, or data processing practices of third-party AI providers. By using AI features within Pheeb, you acknowledge that data may be processed by these providers in accordance with their own terms and policies.

Further information about our platform infrastructure provider's AI terms and sub-processor information is available on request.

8. Changes to This Policy

AI technology is developing rapidly, and the features available within Pheeb will evolve over time. We will update this AI Policy when material changes are made to how AI features work or how data is processed.

We will notify you of material changes by email or by notice within Pheeb. Your continued use of Pheeb following notification of a change constitutes your acceptance of the updated AI Policy.
